Terms of Service

1. Acceptance of Terms

By accessing or using the WholesaleEU platform at europe-supplier.com ("Platform"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Platform. These terms constitute a legally binding agreement between you and THE AXN SRL.

2. Description of Service

WholesaleEU is a B2B wholesale sourcing platform that connects buyers with European suppliers. Our services include:

• An AI-powered assistant to help identify sourcing requirements
• A dashboard to submit and manage formal order requests
• A human sourcing team that researches and presents supplier options
• Communication tools between buyers and our team

We act as a sourcing intermediary. We are not a marketplace and do not hold inventory. Final contracts are between you and the supplier.

3. Accounts and Registration

To submit orders you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access
• Be responsible for all activity under your account

You must be at least 18 years old and acting on behalf of a legitimate business to use this Platform.

4. Subscription Plans and Payments

Access to order submission requires a paid subscription:

• Starter: €19.99/month
• Business: €74.99/month
• Pro: €99.99/month

Subscription fees are charged monthly and are non-refundable except where required by applicable law. The subscription fee paid is deducted from your final order invoice as a discount.

Payments are processed by Stripe. By subscribing you agree to Stripe's Terms of Service. We reserve the right to change pricing with 30 days' notice.

5. Our Sourcing Service

When you submit an order request, our team will:

• Research verified European suppliers matching your requirements
• Present you with supplier options, pricing, and terms
• Facilitate communication and negotiation
• Assist with order coordination

We make reasonable efforts to find suitable suppliers but cannot guarantee availability, pricing, or lead times. Supplier information is provided in good faith based on our knowledge at the time of response.

6. Fees and Commission

We earn a commission from suppliers for successful orders facilitated through our platform. This commission is separate from your subscription fee and does not affect the prices quoted to you. All prices presented to you are the prices you pay.

7. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Submit fraudulent or misleading order requests
• Attempt to contact suppliers directly to bypass our platform after being introduced through us
• Misuse our AI assistant or attempt to extract proprietary information
• Share your account with third parties

8. Intellectual Property

All content, software, and technology on the Platform is owned by THE AXN SRL or its licensors. You may not copy, reproduce, or distribute any part of the Platform without our express written consent.

9. Limitation of Liability

To the maximum extent permitted by law, THE AXN SRL shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of profits or business opportunities
• Supplier failures to deliver or meet specifications
• Inaccuracies in AI-generated content or estimates

Our total liability to you shall not exceed the subscription fees paid by you in the three months preceding the claim.

10. Disclaimer of Warranties

The Platform is provided "as is" without warranties of any kind. We do not warrant that the Platform will be uninterrupted, error-free, or that AI-generated information will be accurate. Product suggestions and pricing estimates are indicative only.

11. Termination

You may cancel your subscription at any time through the dashboard. Access continues until the end of the current billing period. We reserve the right to suspend or terminate accounts that violate these Terms.

12. Governing Law

These Terms are governed by the laws of Romania. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania, without prejudice to your rights as a consumer under applicable EU law.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email. Continued use of the Platform after changes constitutes acceptance of the new Terms.
